Activist Commentary: Starboard Value is a very successful activist investor and has extensive experience helping companies focus on operational efficiency and margin improvement. On Dec. 15, 2022 , Starboard delivered a letter to the company nominating four directors for election to the board at the 2023 Annual Meeting. Both sides seem to share the same views regarding margin improvement, and there is a new CEO who Starboard likely supports. Having Starboard representation on the board would help management stay focused and get the support it needs. While Starboard is not advocating for any strategic transaction, the firm is an economic animal with fiduciary duties.
The board challenge comes after chemical company DuPont (DD.N) in November walked away from a $5.2 billion deal to acquire Rogers because it failed to secure regulatory approval for the transaction in China. Starboard and Rogers did not respond to requests for comment. Its stock price tumbled after the DuPont deal was scrapped and is down 47% over the last 52 weeks. The company has made changes since the DuPont deal fell apart. Starboard has been active, including recent bets on cloud-based software company Salesforce (CRM.N), software company Splunk (SPLK.O) and website maker Wix.com (WIX.O).
The firm's principals are generally on the boards of half of ValueAct's core portfolio positions and have had 55 public company board seats over 22 years. Adding Morfit to the board of Salesforce makes a ton of sense regardless of the activist environment. Morfit has experience helping management increase both growth and margins from a board level, and both can be improved at Salesforce. The looming question is whether he will initially be doing this with an activist cloud hanging over the company's head in the form of a proxy fight by one of the other activists involved. It likely had been engaging with Salesforce management for several months, and this appointment may have happened just as a threatened proxy fight was reported.
Jan 23 (Reuters) - Canada's Ritchie Bros Auctioneers (RBA.TO) on Monday sweetened the cash component of its buyout offer for IAA Inc (IAA.N) by 28%, valuing the U.S. auto retailer at $5.94 billion, and also secured the backing of a key IAA shareholder which had questioned the initial offer. IAA shares rose 4.9% in morning trade, while Ritchie Bros's Toronto-listed shares were up 3%. The improved offer comes at a time when many companies are reducing costs and initiating layoffs in face of a potential economic downturn. Under the revised offer, IAA stockholders would receive $12.80 in cash, up from $10 earlier, and 0.5252 Ritchie Bros. share for each IAA share, down from 0.5804. Ritchie made the initial offer in November, valuing the company at about $7.3 billion, including debt.
Pressure from activist investors is mounting at Club holding Salesforce (CRM). Elliott's investment in Salesforce comes roughly three months after activist investor Starboard Value disclosed a position in the company. This is a typical situation for Starboard: a private company CEO running a public company like a private company leading to underperforming operating margins. Both Starboard and Vertiv seem to be on the same page.

Starboard views Salesforce as a high quality and sticky business at an attractive valuation with the potential for significant value creation through a better balance of growth and profitability. Salesforce peers are operating at a "rule of 50" – average revenue growth plus adjusted operating margins of peers equals 49.4. Salesforce currently has a revenue growth rate of 17.0% and 20.4% operating margins, which brings it to 37.4 combined. Starboard has had extensive experience with growth companies that begin to see slowing growth rates and need to either regain that growth and/or focus on margins. Even if they were to hit that target, this would only bring them to a growth + margin of 42.
An activist investor we respect has taken a notable stake in Club holding Salesforce (CRM), sending shares higher by more than 4% on Tuesday. Rather, we're pleased with Starboard's activist campaign because its goal — creating more value through improved profitability — is good for shareholders. ...
